Welcome to Sentifyd.io ("Sentifyd", "we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of our website located at https://sentifyd.io (the "Website") and our services for deploying interactive 3D AI avatars and related tools (collectively, the "Service").

By accessing or using the Website or the Service, creating an account, embedding our widgets, using our APIs, or otherwise interacting with Sentifyd, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website or the Service.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. The Service is primarily intended for business and professional use, although individuals may also use it subject to these Terms.

These Terms incorporate by reference our Privacy Policy and any other policies or documents we expressly reference. In the event of a conflict between these Terms and any order form or written agreement signed between you and Sentifyd, that written agreement will prevail to the extent of the conflict.

Definitions

• "Customer" or "Client" means the person or entity that creates an account, embeds the Service, or otherwise uses the Service.
• "End Users" means users of your website, application, or other properties who interact with your Sentifyd-powered 3D AI avatars or chat interfaces.
• "Customer Content" means any data, text, documents, prompts, media, configuration, or other content you or your End Users provide to or through the Service (including RAG sources, knowledge bases, instructions, and prompts).
• "AI Outputs" means text, audio, animation, or other content generated by AI models through the Service in response to prompts or interactions.
• "Third-Party Services" means third-party platforms, APIs, tools, or AI models (for example, large language models or MCP servers) that are integrated with or used by the Service.

2. Cookies

We use cookies and similar technologies on the Website and, where applicable, within the Service to operate, secure, and analyze usage of our Website and Service, and to remember your preferences. Some cookies are essential to the functioning of the Website and cannot be switched off in our systems. Others are optional and are used for analytics or improvements.

By continuing to use the Website or the Service, you consent to the use of cookies in accordance with our Cookie Policy (where available) and your browser settings. You may configure your browser to reject some or all cookies, but if you do so, certain features of the Website or Service may not function properly.

3. Intellectual Property & Service License

Unless otherwise stated, Sentifyd and/or its licensors own all intellectual property rights in and to the Website, the Service, and all related software, designs, graphics, 3D assets provided by Sentifyd, documentation, and content (collectively, the "Sentifyd Materials"). All such rights are reserved.

Subject to your continued compliance with these Terms and any applicable order documents, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term of your subscription or access to:

• access and use the Service for your internal business purposes or personal projects, and
• embed and display Sentifyd avatars and widgets on your websites or applications,

in each case strictly in accordance with these Terms, our documentation, and applicable law.

You must not:

• copy, modify, adapt, translate, or create derivative works of the Sentifyd Materials except as expressly permitted by us;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Service, except to the extent that such activity is expressly permitted by applicable law and then only after providing prior written notice to us;
• remove, alter, or obscure any proprietary notices or labels on or in the Sentifyd Materials;
• use any Sentifyd trademarks, logos, or branding except as expressly authorized in writing.

Your Content

You retain all rights, title, and interest in and to your Customer Content. By submitting Customer Content to or through the Service, you grant Sentifyd a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use such Customer Content solely as necessary to operate, maintain, improve, secure, and provide the Service to you and your End Users, and as otherwise described in our Privacy Policy.

You represent and warrant that you have all necessary rights, consents, and permissions to provide Customer Content to the Service and to grant the above license, and that our use of Customer Content in accordance with these Terms will not infringe or violate any third-party rights or applicable laws.

4. AI Service & AI Outputs

The Service allows you to deploy intelligent, real-time 3D AI agents that can converse with End Users using AI models (including large language models) and your own Customer Content (such as manuals, FAQs, and internal documents). The Service may use Third-Party Services (for example, industry-standard models provided by trusted cloud platforms) and may integrate with your own tools or MCP servers.

Nature of AI Systems

You understand and agree that AI models are probabilistic and may produce outputs that are incorrect, incomplete, misleading, offensive, or otherwise unexpected ("hallucinations"). AI Outputs may not always be factually accurate or appropriate for every context, even when grounded in your Customer Content.

Accordingly:

• AI Outputs are automatically generated and are not reviewed or verified by Sentifyd before being shown to End Users.
• We do not control the specific content of AI Outputs and do not guarantee that AI Outputs will be accurate, complete, lawful, or suitable for any purpose.
• You are solely responsible for configuring your AI agents, providing appropriate Customer Content, defining instructions and guardrails, and supervising and reviewing AI Outputs as appropriate for your use case.

No Professional Advice

The Service and AI Outputs do not constitute and must not be used as a substitute for professional advice of any kind. Without limiting the foregoing, you and your End Users must not rely on the Service or AI Outputs for:

• medical, psychological, or health advice, diagnosis, or treatment;
• legal advice, interpretation of laws, or preparation of legal documents;
• financial, tax, accounting, investment, or trading advice or decisions.

AI Outputs are provided for general informational and assistive purposes only (for example, explaining documentation, answering FAQs, or performing non-critical tasks) and are not tailored to any particular individual. Any decisions or actions taken based on AI Outputs are taken entirely at your own risk and responsibility.

You must configure and present your Sentifyd agents so that:

• they are not presented as licensed medical, legal, financial, or other regulated professionals;
• clear and prominent disclaimers are provided to End Users that interactions with the agent are powered by AI and that the content is informational only and not professional advice; and
• End Users are instructed not to rely solely on AI Outputs for decisions in medical, legal, financial, or other regulated or high-risk areas and to consult qualified professionals instead.

No Liability for AI Outputs

To the maximum extent permitted by applicable law, Sentifyd will not be liable for any loss, damage, or harm arising out of or in connection with:

• any AI Outputs, including any hallucinations, inaccuracies, or misleading or offensive content; or
• any decisions, actions, or omissions by you or your End Users based on AI Outputs.

5. Acceptable Use & Prohibited Content

You are responsible for all use of the Service under your account, including use by your employees, contractors, and End Users interacting with your Sentifyd agents. You must ensure that all such use complies with these Terms and with applicable laws.

Prohibited Uses

You must not, and must not permit anyone else to, use the Service, Customer Content, or AI Outputs to:

• violate any applicable law or regulation, court order, or governmental requirement;
• engage in, promote, or facilitate any illegal activity;
• engage in or promote violence, self-harm, terrorism, or threats against any person or group;
• harass, bully, or abuse individuals or groups, or promote hate or discrimination based on race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic;
• infringe or misappropriate any intellectual property, privacy, publicity, or other rights of any third party;
• upload, generate, or distribute malware, viruses, or other harmful code, or attempt to gain unauthorized access to any system or data;
• perform or attempt to perform security testing, penetration testing, or vulnerability scanning of the Service without our prior written consent;
• circumvent, disable, interfere with, or attempt to override any safety, security, or content-filtering mechanisms of the Service or underlying AI models;
• build, train, or improve models that compete with Sentifyd using outputs or data from the Service, except as explicitly permitted in a separate written agreement.

Explicit / NSFW / Adult Content

You must not configure, prompt, or use the Service to create, display, or distribute:

• pornographic or sexually explicit content, including content intended to cause sexual arousal;
• nudity-focused or fetish content, or other "Not Safe For Work" (NSFW) material;
• sexual content involving minors or any person who appears to be or is represented as under the age of 18;
• content that exploits, harms, or depicts the exploitation or harm of children.

High-Risk Uses

The Service must not be used in any context where failure, inaccuracy, or delay of AI Outputs could reasonably be expected to result in death, personal injury, or severe physical or environmental harm (for example, medical triage, emergency response, or critical infrastructure control).

Our Rights

We reserve the right (but have no obligation) to monitor use of the Service and Customer Content for compliance with these Terms. We may remove or disable access to any Customer Content or AI Outputs and may suspend or terminate your access to the Service (in whole or in part) if we reasonably believe that you or your End Users have violated these Terms, applicable law, or third-party rights.

6. Hyperlinking to Our Website

You may link to our Website from your site, provided that:

• the link is not misleading or deceptive and fairly represents Sentifyd;
• the link does not falsely suggest any form of sponsorship, endorsement, or approval by Sentifyd where none exists; and
• your website does not contain content that is unlawful, harmful, or otherwise inconsistent with these Terms.

We reserve the right to request removal of any link to our Website at any time and for any reason. Upon such request, you agree to promptly remove the link.

Except as expressly permitted in this section or in a separate written agreement, you may not use any Sentifyd logo, trademark, or other proprietary graphic as part of a link without our prior written consent.

7. iFrames

Without our prior written consent, you may not create frames or iframes around our Website that alter in any way the visual presentation or appearance of our Website.

For embedding our 3D AI agents and widgets on your website or application, you must follow the technical integration guidelines and any additional terms we provide. You must not modify, hide, or misrepresent our branding or any mandatory disclosures that are part of Sentifyd’s embed code, unless we explicitly permit such modifications.

8. Liability & Indemnity

Content Liability (Your Website & Users)

You are solely responsible for all content and interactions that occur on your websites, applications, or other properties where the Service is embedded or used, including all Customer Content and all interactions with End Users. Sentifyd is not responsible for any content that appears on your properties or for how you choose to configure and present your AI agents.

You agree to protect, defend, and hold harmless Sentifyd from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Customer Content or your configuration, prompts, or instructions;
• your use of the Service or AI Outputs in violation of these Terms or applicable law;
• any interactions between you (or your End Users) and AI agents powered by Sentifyd;
• your use of or integration with any Third-Party Services or tools, including MCP servers and custom APIs.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Sentifyd will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or in connection with these Terms or your use of (or inability to use) the Service, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
• Sentifyd’s total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you have paid to Sentifyd for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) EUR 100 if you have not paid any such amounts.

In particular, and without limiting the above, Sentifyd will not be liable for any loss or damage resulting from:

• AI Outputs, including hallucinations, inaccuracies, omissions, or misleading or offensive content;
• your or your End Users’ reliance on AI Outputs for medical, legal, financial, or other professional decisions or high-risk uses;
• any errors or interruptions in the availability or functioning of the Service, or any loss or corruption of data not directly caused by our gross negligence or willful misconduct;
• any acts or omissions of Third-Party Services or other third parties.

Nothing in these Terms will limit or exclude liability for death or personal injury caused by gross negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website, the Service, and all Sentifyd Materials, AI Outputs, and related content are provided on an "as is" and "as available" basis, with all faults and without warranties of any kind, whether express, implied, or statutory.

Without limiting the foregoing, we expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or trade usage.

We do not warrant that:

• the Service will be uninterrupted, secure, or error-free;
• defects will be corrected;
• the Service or any servers that make it available will be free of viruses or other harmful components; or
• AI Outputs or other results of using the Service will be accurate, complete, reliable, lawful, or suitable for your needs.

You assume all risks associated with your use of the Service, including any reliance on AI Outputs or decisions made based on such outputs. You are responsible for implementing appropriate safeguards and human oversight, particularly where AI Outputs could affect individuals’ rights, safety, or finances.

10. Governing Law, Changes & Miscellaneous

Governing Law & Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law principles.

The courts of the Netherlands shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, except that Sentifyd may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Changes to the Service and Terms

We may modify or update the Service from time to time, including by adding or removing features. We may also update these Terms from time to time. When we do so, we will update the "Last modified" date at the top of this page. Where required by law, we will provide you with advance notice.

Your continued use of the Website or Service after the effective date of any updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

Termination

We may suspend or terminate your access to the Service, in whole or in part, if:

• you materially breach these Terms and fail to cure such breach within a reasonable period after we notify you, or
• we reasonably believe your use of the Service poses a security, legal, or reputational risk.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including, without limitation, intellectual property, AI Outputs, acceptable use, limitation of liability, indemnity, and governing law) will continue in full force and effect.

Severability & Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and Sentifyd regarding your use of the Website and Service, and supersede any prior or contemporaneous understandings or agreements, whether written or oral, relating to such subject matter, except where you have a separately signed written agreement with us.
